Terms & Conditions
Terms and Conditions Agreement ("Agreement") governs access to and use of the E-Invoicing Platform (“Platform”) provided by Tech Ventures Information Technology Services LLC, a company incorporated in the United Arab Emirates with its principal place of business at Office #2, 6th Floor, 602, Mai Tower, Al Nahda 2, Dubai, ("Tech Ventures", "we", "us", or "our").
By accessing or using the Platform, the user (“User”, “you”, or “your”) and the subscribing entity (“Customer”) confirm their understanding of and agreement to the terms and conditions outlined in this Agreement.
Definitions
- Platform refers to the web-based software system developed and provided by Tech Ventures for electronic invoicing and tax reporting, including all modules, features, user interfaces, APIs, documentation, and related services.
- User means any individual who is granted access to the Platform by or on behalf of a Customer and acts under the Customer’s authority or license.
- Customer refers to the legal entity or individual that has entered into a subscription or service agreement with Tech Ventures for use of the Platform.
- Account means the secured login credentials issued to a User by Tech Ventures or the Customer for accessing the Platform.
- Authorized User means any individual expressly designated by the Customer to use the Platform within the terms of a valid license or subscription.
- Data includes any information entered manually, uploaded, displayed, or integrated into the Platform by a User or through automated connections from external systems.
- External Integrations refers to external data sources or systems such as Peppol, ERP systems, or government e-invoicing platforms which are connected to the Platform for data synchronization.
- ERP Source refers to the Customer’s internal Enterprise Resource Planning (ERP) system or any other accounting, billing, or financial software used to generate and transfer business data such as invoices, customer records, and tax-related information into the Platform.
- Tax Authority means the Federal Tax Authority (FTA) of the United Arab Emirates or any successor regulatory authority responsible for overseeing VAT and e-invoicing compliance.
Access and Authorized Use
The Platform is a licensed product accessible only by Authorized Users. Each User must use their assigned credentials and shall not share access with others. Unauthorized access or use is strictly prohibited and may result in immediate termination of access rights.
Customers are responsible for ensuring that only properly authorized personnel access the Platform, and that access is promptly revoked when a User is no longer entitled to use it.
Account Security and User Management
Users must maintain the confidentiality of their login credentials. Customers must notify Tech Ventures in writing of any change in authorized personnel.
Any suspected unauthorized use or breach of security must be reported immediately. Tech Ventures will not be responsible for consequences arising from misuse of credentials or delayed user deactivation.
Data Responsibility and Compliance
The Customer is fully responsible for the accuracy, completeness, and compliance of all Data entered into or integrated with the Platform, including data sourced from ERP systems or other source systems.
Where the Platform is integrated with Customer ERP Sources, the Customer shall ensure that all configurations and mapping are tested and validated to meet local tax regulations.
Tech Ventures provides only a conduit for transmitting or presenting data. We do not verify tax classifications, amounts, dates, or filing obligations, and the Customer is solely responsible for ensuring compliance with all Tax Authority rules and deadlines.
Use for Regulatory Submissions
The Platform may be used for preparation, review, and submission of tax-compliant e-invoices and reports; however, final legal and regulatory accountability remains with the Customer.
Tech Ventures shall not be liable for missed filings, incorrect submissions, or penalties resulting from data errors, configuration mistakes, or integration issues originating from the Customer’s systems.
Data Retention and Access for Audit
The Platform is not intended for long-term data storage. Data submitted to or synchronized with the Platform, including invoices, reports, and audit logs, will be retained for a maximum of two (2) calendar months from the date of submission or integration.
After this period, Tech Ventures reserves the right to permanently delete such data without further notice. It is the sole responsibility of the Customer to download, archive, and back up all required data within the retention window to meet their legal, tax, or audit requirements.
Tech Ventures will not be held liable for any loss of data beyond the specified retention period.
Service Availability and Maintenance
Tech Ventures will take commercially reasonable efforts to ensure availability of the Platform, excluding planned maintenance windows or unforeseen technical interruptions.
Planned maintenance will be notified in advance where possible. Emergency maintenance may be carried out without notice if necessary to protect system integrity or security.
Prohibited Use and Restrictions
- Reverse engineer, decompile, or disassemble any portion of the Platform;
- Use the Platform in any manner that could damage, disable, overburden, or impair any Tech Ventures systems or interfere with the use of the Platform by other users;
- Resell, sublicense, or otherwise commercialize the Platform or any of its content outside the scope of the agreed subscription;
- Use the Platform to transmit unauthorized, misleading, or unlawful content;
- Misrepresent or manipulate Data to circumvent legal or tax regulations.
Monitoring and Compliance
Tech Ventures reserves the right to monitor access and usage of the Platform to ensure compliance with this Agreement and all applicable laws. Any breach or misuse may result in immediate suspension of access, cancellation of subscription, or legal proceedings, as deemed necessary.
Limitation of Liability
To the maximum extent permitted under applicable law, Tech Ventures disclaims all liability for any indirect, incidental, or consequential loss or damages arising out of or related to Platform use, including but not limited to:
- Regulatory fines,
- Data errors or omissions,
- Missed filings or submission deadlines,
- Integration failures or ERP misconfigurations.
Total liability shall not exceed the amount paid under the relevant subscription in the six (6) months preceding the incident.
Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
Acceptance and Acknowledgment
By using the Platform, the Customer and all Users confirm they have read, understood, and agreed to be legally bound by these Terms and Conditions.
